The following terms and conditions apply as a general framework under which we conduct business. In the absence of any other written agreement, or where an existing written agreement does not address an item covered herein, these terms and conditions shall govern any business transactions between TexTpertise ("We/Us") and its translation clients ("You").
1. Services
We provide the following services: language translation services (the rendering of a written document into another language), glossary management (tracking and upkeep of your preferred terminology), language consulting services (specialized solutions for language-related matters). From time to time, these services may be performed by subcontractors, but your agreement will always be with us and we are ultimately responsible for the translation. We shall ensure that all of our work is performed diligently and conscientiously, to the best of our ability.
2. Fee
Fees, payment terms, deliverables, due dates and other project particulars will be mutually agreed to on a per project basis and contained in a purchase order sent by you to us. In general, however, our terms are net 30 and we deliver our translations electronically. Other methods of delivery (i.e., hard copies or diskettes sent via express mail) incur surcharges.
3. Confidentiality
Any and all information we may obtain or may create in the course of our work shall be dealt with in a strictly confidential manner. This includes the use of secure data encryption tools during electronic transmission of any files. Information you send to us electronically without use of strong encryption is done at your own risk. Information that is in the public domain through no fault of our own or that we receive from a third party that has the right to disclose it is not included hereunder.
4. Warranty
We warrant that all work performed under this Agreement will be of good quality.
5. Limitation of Liability
Our translations are performed by experienced professional translators to the best of our ability. Said translations are guaranteed to be accurate, reflecting the meaning of the original document, grammatically correct, and easy to read inasmuch as the source document is well written. In no case shall our liability exceed the amount paid or to be paid for work completed in a specific translation project.

6. Governing Law
This Agreement shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, U.S.A.
